REPRESENTATION

The Supervisory Board of Grupa Azoty S.A. (the “Company”) represents that to the best of its knowledge, in the period from the date of the previous representation (March 6th 2020) to the date of this representation at the Company:

a) the laws and regulations governing the appointment, composition, and operation of the Audit Committee, including those concerning the fulfilment by Audit Committee members of independence criteria and the requirements relating to knowledge and skills relevant for the industry in which the Company and the Group to which it belongs operate as well as those relating to knowledge and skills in accounting or audit of financial statements, were complied with,

b) the Audit Committee performed the audit committee tasks provided for in applicable regulations.
